DeedPipe Diligence Terms of Service
Effective Date: September 7, 2026
These Terms of Service (“Terms”) are a legal agreement between Lance Davis, an individual doing business as DeedPipe (“DeedPipe,” “we,” “us,” or “our”) and the organization or business using DeedPipe Diligence (“Customer,” “you,” or “your”).
These Terms govern access to and use of DeedPipe Diligence and related services, websites, features, and customer-facing deliverables that we provide under these Terms (collectively, the “Service”).
By accepting an invitation, creating or using an account, accessing the Service, or authorizing use of the Service on behalf of an organization, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization.
1. The Service
DeedPipe Diligence is a business-to-business diligence platform for document-heavy land and title projects.
The Service may allow Customer to:
- create Projects;
- upload and process Project documents;
- receive tract runsheets and other standard diligence deliverables;
- receive Project-level reports and findings;
- use Ask This Project across the authorized Project corpus;
- request or generate additional reports, spreadsheets, document packages, or other artifacts;
- inspect documentary sources supporting material answers and conclusions; and
- download authorized Project instruments as renamed copies when that functionality is available.
DeedPipe may use human review and backstage operational intervention in providing the Service. Customer-facing results do not imply that all processing is fully automated.
2. Accounts, Organizations, and Authorized Users
The Service is sales-assisted and invite-only. There is no public self-service account creation or public self-service purchase in V1.
Access is organized by Customer Organization. Customer is responsible for the individuals it authorizes to use its account.
The Service may distinguish between Organization Owners and Members. Owners may have administrative authority over membership, billing, and other Organization-level settings. Members do not receive Owner authority merely by having access to Projects.
Users must:
- be at least 18 years old;
- provide accurate account information;
- keep credentials secure;
- use only accounts they are authorized to use; and
- promptly notify DeedPipe of suspected unauthorized access.
3. Customer Content
“Customer Content” means documents, files, information, instructions, Project data, and other material submitted to or made available through the Service by or for Customer.
Customer retains its ownership and other rights in Customer Content.
Customer grants DeedPipe a limited right to host, copy, transmit, process, normalize, analyze, index, retrieve from, and otherwise use Customer Content only as reasonably necessary to provide, secure, support, and operate the Service and to create Customer’s requested diligence results and deliverables.
DeedPipe may use service providers to perform portions of this processing on DeedPipe’s behalf.
Customer represents that it has the rights and authority necessary to provide Customer Content to DeedPipe and to authorize its processing as contemplated by these Terms.
Customer must not knowingly submit material that:
- it has no right to provide;
- is unlawful;
- is intended to compromise or abuse the Service;
- contains malicious software or code; or
- violates another person’s intellectual-property or privacy rights.
Customer Content from one Customer Organization will not be used as another Customer Organization’s Project evidence or disclosed to another Customer through the Service.
4. Document Processing and Source Materials
Canonical Project documents may be stored and processed using DeedPipe-selected service providers.
DeedPipe may create normalized, searchable, indexed, extracted, or other derivative representations of Customer documents to provide the Service.
Such processing does not change the status of the Customer’s authorized source documents as the underlying documentary evidence.
Where practical, material diligence conclusions and answers are designed to remain traceable to authorized Project source documents.
5. Diligence Deliverables and AI-Assisted Features
The Service includes different kinds of outputs.
Released diligence packages
A diligence package identified by DeedPipe as Released has passed the applicable DeedPipe preparation and human QA/release process.
Released package versions are treated as historical snapshots. If reviewed diligence later changes, DeedPipe may create and release a new version rather than alter a previously released version.
Ask This Project and other generated outputs
Ask This Project and certain additional reports, answers, drafts, summaries, spreadsheets, or artifacts may use automated or AI-assisted processing.
Unless expressly identified as having completed DeedPipe’s human QA/release process, such outputs should not be assumed to have received the same human review as a Released diligence package.
Automated and AI-assisted systems can misunderstand documents, omit relevant information, or produce incorrect or incomplete output. Customer should inspect cited source materials and apply appropriate professional judgment before relying on material generated output.
6. No Legal Opinion, Title Insurance, or Guarantee of Title
DeedPipe Diligence is a diligence service.
Unless DeedPipe separately agrees otherwise in a signed writing, the Service does not provide:
- legal advice;
- an attorney-client relationship;
- title insurance;
- a title-insurance commitment;
- an attorney opinion of title;
- a guarantee of ownership, title, leasehold status, or mineral interest; or
- a guarantee that every defect, burden, instrument, or issue has been identified.
Customer remains responsible for determining whether legal counsel, a title attorney, title insurance, an abstractor, regulatory advice, tax advice, or another professional service is appropriate for a particular transaction or decision.
7. Acceptable Use
Customer and Authorized Users may not:
- access another Customer’s Organization, Projects, documents, or results without authorization;
- attempt to defeat authentication, authorization, usage controls, or security measures;
- introduce malware or intentionally harmful content;
- use the Service for unlawful purposes;
- interfere with the operation of the Service;
- probe or exploit security vulnerabilities except through an authorized security-testing process;
- use automated means to abuse or overload the Service; or
- reverse engineer the Service except to the limited extent such restriction is prohibited by applicable law.
DeedPipe may take reasonable measures to protect the Service, its customers, and its infrastructure from misuse or security threats.
8. Subscription and Billing
V1 uses a monthly recurring subscription billed per Customer Organization.
Pricing is established through the applicable sales process, order, or checkout and is not determined by these Terms.
An authorized Organization Owner may use the approved billing and customer-portal functionality.
Subject to the applicable subscription state:
- an active paid Organization receives ordinary Service access;
- a subscription scheduled to cancel at the end of its billing period retains ordinary access through the paid-through period;
- a genuinely past-due Organization receives a seven-calendar-day grace period with ordinary access;
- after that grace period, an unpaid Organization may become read-only;
- read-only access may permit authentication, inspection of existing customer-visible Project information, and download of already released or generated deliverables;
- read-only access may block new Projects, new document uploads, new Ask requests, and other newly initiated provider-consuming or artifact-generation work; and
- restoration of authoritative active subscription status restores ordinary access.
Work validly admitted before a later billing restriction may finish safely.
Billing lapse, cancellation, past-due status, or refund does not by itself delete Customer Content.
Specific retention, deletion, export, legal-hold, backup, and post-termination procedures are governed separately and are not established by this section.
9. Confidentiality
Each party may receive non-public information of the other party that reasonably should be understood to be confidential.
Customer Content is Customer Confidential Information.
The receiving party will:
- use Confidential Information only for purposes of the relationship;
- protect it using reasonable care; and
- disclose it only to personnel and service providers who need it for those purposes and are subject to appropriate confidentiality obligations.
Confidential Information does not include information that the receiving party can demonstrate was lawfully known without restriction, independently developed, lawfully received from another source, or made public through no breach of obligation.
A party may disclose Confidential Information when legally required, provided it gives notice when legally permitted and reasonably practicable.
10. Security and Privacy
DeedPipe maintains administrative, technical, and organizational measures designed to protect Customer information and enforce Customer and Project authorization boundaries.
No security system can guarantee absolute security.
DeedPipe’s collection and handling of personal information is further described in the DeedPipe Privacy Policy.
If DeedPipe determines that a material customer-affecting incident warrants customer communication, DeedPipe may communicate directly with affected Organization Owners and may provide a provider-neutral notice within the Service.
11. Service Providers
DeedPipe may use third-party providers for functions such as document storage, document processing, artificial-intelligence-assisted retrieval and reasoning, infrastructure hosting, email delivery, identity services, security, and payment processing.
These providers operate backstage except where direct customer interaction is reasonably necessary, such as a hosted payment page or a Google or Microsoft authentication flow.
DeedPipe remains responsible for operating the Service under these Terms, but third-party systems may experience outages, delays, or other failures beyond DeedPipe’s direct control.
12. Intellectual Property
Except for Customer Content, DeedPipe and its licensors retain all rights in the Service, software, interfaces, workflows, designs, templates, documentation, and other DeedPipe technology.
Subject to these Terms and payment of applicable fees, Customer may use and share its DeedPipe Diligence deliverables for Customer’s lawful business purposes.
No ownership of DeedPipe’s underlying software, methodology, or platform technology transfers to Customer merely because it is reflected in a deliverable.
13. Cancellation and Termination
Customer may cancel its subscription through the applicable approved billing process.
Cancellation does not ordinarily terminate access before the end of the applicable paid-through subscription period.
DeedPipe may terminate or suspend access for a material breach of these Terms, unlawful activity, serious security risk, nonpayment in accordance with the approved billing rules, or when continued provision of the Service is prohibited by law.
Termination or cancellation does not itself establish a deletion schedule for Customer Content.
Any applicable retention, export, deletion, backup, legal-hold, or post-termination procedures are governed separately.
14. Suspension
DeedPipe may suspend or restrict access when reasonably necessary to:
- address a material breach of these Terms;
- protect Customer or Service security;
- prevent abuse or unlawful activity;
- comply with law or legal process; or
- apply the approved billing-entitlement rules.
When reasonably practicable, DeedPipe will provide notice of a material suspension.
Suspension does not itself establish a deletion or retention schedule for Customer Content.
15. Service Changes and Availability
DeedPipe may maintain, improve, repair, or modify the Service over time.
Unless a separate written agreement expressly provides otherwise, DeedPipe does not promise uninterrupted availability or a particular service-level percentage.
DeedPipe will not use this section to eliminate the fundamental nature of the purchased DeedPipe Diligence service while an applicable paid subscription remains in effect.
16. Disclaimer of Warranties
DeedPipe will provide any expressly agreed services and deliverables in accordance with the applicable agreement.
EXCEPT FOR EXPRESS OBLIGATIONS STATED IN THESE TERMS OR AN APPLICABLE WRITTEN AGREEMENT, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW.
DEEDPIPE DISCLAIMS IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.
DEEDPIPE DOES NOT WARRANT THAT AUTOMATED OR AI-ASSISTED OUTPUT WILL ALWAYS BE COMPLETE, ACCURATE, OR ERROR-FREE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEDPIPE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEDPIPE’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
18. Changes to These Terms
DeedPipe may update these Terms from time to time.
If a change materially affects Customer’s rights or obligations, DeedPipe will provide reasonable notice before the change becomes effective when practicable.
The updated Terms will state when they become effective.
19. General
These Terms, together with any applicable order, signed agreement, and incorporated policies, constitute the agreement governing the Service.
If a signed agreement or order expressly conflicts with these Terms, the signed agreement or order controls to the extent of that conflict.
Neither party waives a right merely by delaying its exercise.
If any provision is unenforceable, the remaining provisions remain in effect.
Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.
Any state-court action arising out of or relating to these Terms or the Service must be brought in a court of competent jurisdiction located in Childress County, Texas.
If an action arising out of or relating to these Terms or the Service is properly within federal jurisdiction, the parties consent to jurisdiction and venue in the United States District Court for the Northern District of Texas, Amarillo Division, to the extent jurisdiction and venue are otherwise proper.
Each party consents to personal jurisdiction in those courts and waives objections to venue to the extent permitted by law.
